Terms & Conditions

By accessing or using any Smart Estate product — including the Smart Estate IDX Plugin, Smart Estate CRM, and Customer Portal — you agree to be bound by these Terms and Conditions in full. If you do not agree to these terms, you must discontinue use of our services immediately.

If you are using our services on behalf of a company, organisation, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms. In such cases, "you" refers to both you as an individual and the entity you represent.

These Terms apply to all visitors, users, licensees, and subscribers of Smart Estate products and services. By completing registration or continuing to use our services, you confirm that you have read, understood, and accepted these Terms.

Smart Estate Technology Ltd provides software-as-a-service (SaaS) products designed for Nigerian real estate professionals. Our current product suite includes:

• Smart Estate IDX Plugin — a WordPress plugin enabling real estate agents and brokerages to display live Smart Estate MLS property listings on their websites, with search, map view, filters, and lead capture.
• Smart Estate CRM — a lead and client relationship management tool integrated with the IDX Plugin for pipeline tracking and communication.
• Customer Portal — a web-based hub at login.smartestateio.com for managing subscriptions, license keys, billing, and account settings.

Services are provided on a commercially reasonable basis with reasonable care and skill. We do not guarantee uninterrupted or error-free service. We reserve the right to modify, enhance, suspend, or discontinue any aspect of our services with reasonable advance notice, except where immediate action is required for security or legal reasons.

You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@smartestateio.com if you suspect unauthorised access.

License keys are issued per subscription tier and are tied to the registered domain(s) of your WordPress installation. License keys:

• May not be shared, given, sold, or transferred to any third party without prior written permission from Smart Estate Technology Ltd.
• May not be used on more WordPress installations than the tier permits (Starter: 1 site; Pro: up to 3 sites; Agency: unlimited sites).
• Are validated against the registered domain automatically on activation and via daily background checks.

Violation of license terms may result in immediate suspension of your account without refund.

Subscriptions are billed in advance on a monthly or annual cycle, as selected at checkout. All payments are processed in Nigerian Naira (NGN) via Paystack and are inclusive of all applicable taxes.

Subscriptions renew automatically at the end of each billing period. You may cancel at any time through your Customer Portal account. Cancellation takes effect at the end of the current billing period — you retain full access until that date.

We reserve the right to revise our pricing. Price changes will be communicated to active subscribers by email with a minimum of 30 days' notice before they take effect. Continued use of the service after the effective date of a price change constitutes acceptance of the new pricing.

Refunds are not provided for unused portions of a billing period, except where required by applicable Nigerian consumer protection law. Disputed charges should be raised with us at support@smartestateio.com within 30 days of the charge.

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

• (a) Use our services to violate any applicable Nigerian or international law or regulation.
• (b) Attempt to scrape, reverse-engineer, decompile, disassemble, or extract source code from any of our products.
• (c) Use property listing data retrieved via the IDX Plugin for any purpose other than displaying listings on your registered WordPress site in the ordinary course of real estate business.
• (d) Resell, sublicense, or redistribute access to our services without prior written authorisation from Smart Estate Technology Ltd.
• (e) Interfere with, disrupt, or attempt to gain unauthorised access to our servers, networks, or systems.
• (f) Use our services to transmit unsolicited commercial communications (spam) or engage in any deceptive practice.
• (g) Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to investigate and take appropriate action against any violation of this section, including suspension or termination of your account.

All software, designs, user interfaces, documentation, trademarks, and content provided by Smart Estate Technology Ltd — including the Smart Estate IDX Plugin, Smart Estate CRM, and Customer Portal — are the exclusive intellectual property of Smart Estate Technology Ltd and are protected by Nigerian and international copyright and intellectual property law.

Subject to your compliance with these Terms and timely payment of applicable fees, Smart Estate Technology Ltd grants you a limited, non-exclusive, non-transferable, revocable license to use the applicable software during the term of your active subscription, solely for your internal business purposes.

Nothing in these Terms transfers any ownership of intellectual property rights to you. You may not remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or on our software or documentation.

Any feedback, suggestions, or ideas you submit to us regarding our products may be used by Smart Estate Technology Ltd without restriction or compensation to you.

To the maximum extent permitted by applicable law, Smart Estate Technology Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services — arising out of or in connection with your use of, or inability to use, our services.

Our total aggregate liability for any claim arising under or related to these Terms shall not exceed the total amount you paid for the applicable service in the twelve (12) months immediately preceding the claim.

We do not warrant that:

• Our services will be uninterrupted, timely, secure, or error-free.
• Property listing data retrieved via the IDX Plugin will be complete, accurate, or up to date at all times. Data is sourced from Smart Estate MLS and is subject to their own data quality standards.
• Any errors in the services will be corrected within a specific timeframe.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the greatest extent permitted by law.

Our handling of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection, use, and processing of information as described in the Privacy Policy.

Property listing data accessed via the Smart Estate IDX Plugin is sourced from Smart Estate MLS and is subject to separate data licensing terms. You agree to use this data solely for the purpose of displaying current property listings to prospective buyers on your registered WordPress site.

You retain ownership of any customer data and leads generated through the IDX Plugin's lead capture forms. Smart Estate Technology Ltd does not access or use your leads for any commercial purpose.

In the event of a data breach that materially affects your personal data, we will notify you in accordance with our obligations under the Nigeria Data Protection Act (NDPA) and applicable regulations.

Either party may terminate a subscription at any time. You may cancel through your Customer Portal account settings. Cancellation by you takes effect at the end of the current paid billing period, after which your access to the services will cease.

Smart Estate Technology Ltd reserves the right to suspend or terminate your account with immediate effect and without prior notice if:

• You materially breach these Terms and fail to remedy the breach within 7 days of written notice.
• We reasonably determine that your use of the services poses a security risk or legal liability.
• You fail to pay subscription fees when due.

Upon termination for any reason, your license to use our software immediately ceases. Your account data will be retained for 30 days post-termination to allow you to export any necessary records, after which it will be permanently deleted in accordance with our Privacy Policy.

Termination does not relieve you of any obligations accrued prior to the effective termination date, including outstanding payment obligations.

These Terms and Conditions and any disputes arising from them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to any conflict of law principles.

In the event of a dispute, the parties agree to the following escalation procedure:

• Step 1 — Good-faith negotiation: Both parties will attempt to resolve the dispute informally within 30 days of written notice of the dispute.
• Step 2 — Mediation: If negotiation fails, the parties will submit the dispute to a mutually agreed mediator in Lagos, Nigeria.
• Step 3 — Litigation: If mediation is unsuccessful, the dispute shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm.
